Effective Date: September 7, 2026 • Last Revised: September 2026 • Version 3.1

Commercial Agreement Summary

These terms govern client engagements, autonomous agent deployments, deliverables ownership, service level commitments, and billing schedules. By accessing our platform, requesting AI audits, or executing a Statement of Work (SOW), you agree to these terms.

Section 01

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between DSE AI Solutions, Inc. ("DSE," "Company," "we," "us," or "our") and the enterprise entity or individual ("Client," "you," or "your") accessing our website (dseaisolutions.com), using our software platforms, receiving AI-driven growth audits, or entering into a Statement of Work (SOW) or Master Services Agreement (MSA).

By accessing our systems, approving a proposal, or deploying any autonomous marketing workflows managed by DSE, you represent that you have the legal authority to bind your organization to these Terms.

Section 02

2. Scope of Autonomous AI Services

DSE AI Solutions develops, configures, and deploys high-velocity autonomous marketing architectures and AI-driven growth systems. Services may include:

  • Answer Engine Optimization (AEO): Algorithmic indexing and brand positioning for generative discovery engines (Perplexity, ChatGPT, Gemini, Scarpian, Copilot).
  • Autonomous B2B Demand Generation: Dynamic lead enrichment, programmatic qualification, multi-channel outbound sequencing, and AI CRM sync.
  • Content & Creative Engines: Automated multi-format content synthesis, brand asset generation, and editorial pipelines.
  • AI Growth Audits & Consulting: In-depth telemetry analysis, unit economics benchmarking, and custom agent workflow design.

Specific deliverables, key performance indicators (KPIs), timelines, and billing models are formally codified in individual Statements of Work (SOWs) executed between DSE and the Client.

Section 03

3. Client Obligations & Authorizations

To enable efficient deployment of autonomous workflows, the Client agrees to:

  • Authorized Stack Access: Provide legitimate, revocable API credentials, OAuth tokens, and platform permissions (e.g., CRM, ad networks, domain DNS) strictly necessary for campaign execution.
  • Accurate Information: Supply accurate brand guidelines, value propositions, pricing tiers, and compliance disclosures.
  • Compliance with Industry Regulations: Ensure all products, medical devices (e.g., MedTech), financial offerings, or industrial services marketed via DSE comply with relevant regulatory frameworks (FDA, HIPAA, FTC, SEC, GDPR).
Section 04

4. Autonomous Agent Execution & AI Output

DSE utilizes state-of-the-art autonomous agents and generative foundational models. The parties acknowledge and agree to the following operational parameters:

  • Deterministic Guardrails & Supervision: All autonomous workflows operate within client-defined budgetary limits, frequency caps, and brand safety guardrails.
  • Human-in-the-Loop Review: Where agreed upon in the SOW, creative copy, press releases, and public PR releases are subject to Client human review before live distribution.
  • Probabilistic Nature of LLMs: While DSE implements advanced verification pipelines, AI outputs are probabilistic. The Client is responsible for final review of regulated claims prior to mass publication.
Section 05

5. Intellectual Property & Deliverables

Ownership of intellectual property is partitioned as follows:

  • Client Materials & Deliverables: The Client retains all exclusive rights, title, and ownership in its pre-existing brand assets, logos, proprietary customer databases, and final custom copy created specifically for the Client under an active SOW upon full payment of fees.
  • DSE Core Technology & IP: DSE AI Solutions retains all rights, title, and interest in its underlying AI prompts, agent orchestrators, proprietary algorithms, codebase, templates, workflow graphs, and general marketing methodologies.
  • Zero Model Training: As outlined in our Privacy Policy, DSE will never use Client Confidential Information to train public foundation models.
Section 06

6. Confidentiality & Non-Disclosure

Each party ("Receiving Party") agrees to hold in strict confidence all proprietary technical, financial, and marketing information disclosed by the other party ("Disclosing Party"). Confidential Information shall not be disclosed to any third party except to authorized employees, contractors, and subprocessors with a need-to-know basis and subject to equivalent confidentiality agreements.

Section 07

7. Retainers, Fees & Invoicing

Commercial terms are governed by the applicable SOW:

  • Monthly Management & Growth Retainers: Invoiced in advance on a recurring monthly cycle and due upon receipt or within net-15 days as specified in the SOW.
  • Ad Spend & Third-Party API Costs: Third-party ad spend (Google Ads, Meta, LinkedIn) and external platform API charges remain the direct responsibility of the Client, billed directly by the respective platforms.
  • Late Payments: Unpaid balances past 30 days may incur interest at 1.5% per month or the maximum statutory rate allowed by law, and may result in temporary suspension of automated agent pipelines.
Section 08

8. Warranties & Disclaimers

DSE warrants that it will perform all autonomous services with professional diligence and industry best practices.

Market Variance Disclaimer: EXCEPT AS EXPRESSLY SET FORTH HEREIN, SERVICES ARE PROVIDED "AS IS." DSE DOES NOT GUARANTEE SPECIFIC REVENUE FIGURES, THIRD-PARTY ALGORITHM UPDATES (SUCH AS GOOGLE OR LLM SEARCH ENGINE INDEXING POLICIES), OR MARKET ECONOMIC CONDITIONS BEYOND DSE'S DIRECT CONTROL.

Section 09

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS REPUTATION).

DSE'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE TOTAL FEES ACTUALLY PAID BY THE CLIENT TO DSE IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY.

Section 10

10. Termination, Data Handover & Law

Either party may terminate an active agreement for cause upon thirty (30) days written notice of a material breach if such breach remains uncured.

  • Offboarding & Handover: Upon termination, DSE will revoke all API connections, hand over client-owned creative deliverables, and securely purge client credentials in accordance with our Privacy Policy.
  • Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of Delaware (or jurisdiction specified in your SOW), without regard to its conflict of law principles.
